The Focus Point Talk Series 3, with the topic of ''What are the Roles & Responsibilities of EDs, NEDs & INEDs'' was organized by MINED (Malaysia Independent Non-Executive Director Association) on 21-9-2026 at HELP University, located at Bukit Damansara, K.L and was sponsored by Dato' Mona Suraya Kamaruddin (President of MINED) and HELP University. 

The event began with a welcome speech by Datuk Dr. Paul Chan, Chancellor, HELP University, followed by the main talks & sharing by Adj. Prof. Dr. Jimmy Loke (Founding President & Immediate Past President of MINED) and  Mr. Kelvin Chong (Strata & Land Consultant The Founder of CSF Property Consultancy).

The Roles and Responsibilities of EDs, NEDs & INEDs.



Executive Directors (EDs):

EDs are internal directors who double as full-time senior managers of the corporation.
  • Who they are: Typical examples include the Chief Executive Officer (CEO), Chief Financial Officer (CFO), or Chief Operating Officer (COO).
  • Their role: They are responsible for the day-to-day operations, implementing the board’s strategic goals, and managing the company's employees and business units.
Non-Executive Directors (NEDs)
NEDs are external board members who are not employees of the company.
  • Who they are: They are often appointed for their specific industry expertise, prestige, or because they represent a major stakeholder. For example, a founder who stepped down from management but kept their shares, or a representative from a venture capital firm, acts as a NED.
  • Their role: They attend board meetings to provide objective criticism, monitor executive performance, and assist with high-level strategy. However, because they might own a massive amount of stock or have past ties to the company, they are not considered fully objective.
Independent Non-Executive Directors (INEDs)

INEDs are a specific sub-category of NEDs who have absolutely no financial or personal ties to the company, its executives, or its major shareholders.
  • Who they are: Completely disconnected outsiders who are paid a flat fee solely for their time on the board.
  • Their role: They provide the ultimate layer of unbiased oversight. Their presence is crucial for corporate governance, ensuring that the executive team acts in the best interest of all shareholders (especially small, minority investors) rather than just themselves or a majority owner. They typically head critical board committees like Audit, Remuneration, and Nomination.

The event was attended by more than 100 participants, comprising professionals, prominent personalities, corporate leaders, educationists, representatives from government bodies, and other distinguished guests. The program began with a welcome message from Professor Dr. Andy Liew (Vice Chancellor, HELP University), followed by a speech by Mr. Jacob Lee, President of FMM, and a keynote address by Datuk Dr. Paul Chan, Chancellor, HELP University.
 
HELP University and FMM held the official signing ceremony to mark the agreement, with participants as witnesses.

A Technical Seminar-Beyond Lubrication The Science of Refrigeration Oils by JAPAN SUN OIL COMPANY, LTD. which was organized on 27-8-2026 at ASHRAE Malaysia Chapter, Kelana Business Centre by Caldic (MYS) Sdn. Bhd. and Caldic Holdings Singapore Pte. Ltd.

The seminar venue was graciously provided by the co-organizer, ASHRAE Malaysia Chapter, whose support contributed significantly to the success of the event. The Chapter also arranged the Master of Ceremonies, while the closing address was delivered by Mr. Lim Tiong San, President-Elect (2026/27), who concluded the seminar with words of appreciation and encouragement.

My Certificate of “Successful People in Malaysia & Singapore”, which was issued by BPH-BRITISH PUBLISHING HOUSE LTD, was received on 11-5-2026.
 
I had worked for established companies started with MAICO (Matsushita), ACSON (Acson Malaysia), TENCO Group & etc., since year of 1987 and was involved in extensive Associations’ developments such as MMCA (Malaysian Mah Clan Association) as a Youth Chief and MACRA (MALAYSIAN AIR-CONDITIONING & REFRIGERATION ASSOCIATION) as a 2nd Vice President as well NASMIC (National SME Council) as a Public Speaker and countless of Industry’s contributions which had created some impact on my personality and image in terms of recognition overall from Associations and Industries.  

The most significant of my personal’s exposure as well my company (CULMI AIR-COND & REFRIGERATION PARTS SUPPLY SDN. BHD.) which was co-established and founded with Mr. Tan since 2012 with CULMI’s website www.culmi.com.my  launched in the year of 2014 and since then the Industry players from locally and internationally searched this Website’s contents with average 30,000 visiting traffic per week eventually created talk-of-the-town Website which had brought business to my company extensively and made good channel for getting information from all over places.
